By accessing or using the Hotelys platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Hotelys Ltd, a company registered in England and Wales ("Hotelys", "we", "us", or "our").
2. Description of Services
Hotelys provides a cloud-based hotel management platform that includes booking engine, property management, channel management, and related tools for hospitality businesses. The specific features available to you depend on your subscription plan.
3. Account Registration
To use our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activities that occur under your account
4. Subscription and Payment
4.1 Fees: You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.
4.2 Payment: Payment is due at the time of subscription and on each renewal date. We accept major credit cards and direct debit for UK customers.
4.3 Price Changes:We may modify our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
4.4 Refunds: Fees are generally non-refundable except where required by law. We may offer refunds at our sole discretion.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Violate any applicable laws, regulations, or third-party rights
- Transmit viruses, malware, or other malicious code
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble the Services
- Resell or redistribute the Services without authorisation
- Use the Services to send spam or unsolicited communications
6. Intellectual Property
6.1 Our Rights: The Services, including all content, features, and functionality, are owned by Hotelys and are protected by copyright, trademark, and other intellectual property laws.
6.2 Your Rights: You retain ownership of any data you upload to the Services. You grant us a licence to use this data solely to provide the Services to you.
7. Data Protection
Our collection and use of personal data is governed by our Privacy Policy. By using the Services, you consent to our data practices as described in the Privacy Policy. Where you process personal data of your guests through our platform, you act as the data controller and must comply with applicable data protection laws.
8. Service Level Agreement
We commit to maintaining 99.9% uptime for our Services. If we fail to meet this commitment, eligible customers may be entitled to service credits as outlined in our SLA documentation. This SLA applies to Professional and Enterprise plans only.
9. Limitation of Liability
To the maximum extent permitted by law, Hotelys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Hotelys and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
11.1 By You: You may terminate your account at any time through your account settings or by contacting us. Termination will take effect at the end of your current billing period.
11.2 By Us: We may suspend or terminate your access to the Services if you breach these Terms, fail to pay fees, or for any other reason with reasonable notice.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
